1. Acceptance
The following document spells out the relationship between the user and the Pride corporation S.r.l. - society, legal seat in Catania, via Aldebaran 11 A; VAT IT04581830876. The Users Agreement describes the terms and conditions for the access and the services of the Internet site www.bigbid.com (called in the further text website) and their services.

By using the services on the website, you agree to enter an agreement with the society and accept the following terms and conditions. Therefore we recommend to you to read this document attentively in each of its details. The conditions can be modified by the society at any time. The participants will be informed about any modification by publication on thewebsite.

2. Definitions
1. Pride corporation S.r.l.: Society, which owns and operates the website www.bigbid.com, and the offered services.
2. Website: All contents published under the name of the domain www.bigbid.com
3. User, member, participant: each registered member that is according to this document, able to participate in on-line auctions.
4. On-line auction: Procedure, where each registered member has the possibility, to buy and sell products on auctions via Internet.
5. Lowest unique bid auction: special kind of on-line auction, where the winner is the one, who has placed the lowest unique bid.
6. Winner: the winner is the one, who has placed the lowest unique bid, wins the auction and is given the right to purchase the product at that low price.
7. Provisional winner: Participant in an auction, who has placed the lowest unique bid, or - if there is no unique bid, the one belonging to the smallest group of bidders placing the lowest bid. The winner will be the one, who has placed the bid for first.
8. Definite winner: The winner of an auction, who paid the price of the bid in time.
9. Prepaid account: Account, where in advance each participant has to transfer a determined amount in order to receive the Informations package. Each time, you receive information package, it will be debited to your account. After the credit is used up, it will be necessary to transfer a new account, to make sure to receive further on the information package. The transfer can be made by credit card, rechargeable money card, bank credit transfer, system PayPal system, or by any other method of payment indicated on the website.
10. Auction property: each product or article, which is the subject of an on-line auction  
11. Bid: Input of a price in euro cent, in order to purchase an auction property.
12. Interval bid: the possibility of placing bids on every amount within a specific interval for instance between 15 and 25. All 11 bids are then placed in one go by the computer system.
13. Unique bid: bid, which no other participant has placed.
14. Lowest unique bid: the lowest number with only one bid on it.     
15. Multiple bids: bid, that allows to place several bids during an ongoing auction within a certain price interval.
16. Running time of the bid: Predetermined period of time, while it is possible to place bids for an auction property.
17. Information-package: Whole of all information, reported to each participant in the instant he places a bid. This information regards the current status of the placed bids during the whole ongoing auction.  


3. Description of the services
The society offers its members the possibility to sell and/or buy items, by mechanism of the lowest unique bid auction. The society is not a traditional auctioneer and can’t practice the function of an auctioneer. The society is not involved in the actual transactions between buyers and sellers; the society just offers the service (purchase or sale of products in a lowest unique bid auction).  The society can’t verify the quality, safety or legality of items, the truth or accuracy of listing, the truth or accuracy of feedback or other content posted by users on the sites and the ability of sellers and buyer’s to sell/buy items.

4. Registration and participation
The access to the website is possible for physical and legal persons. The society is cannot confirm and is not responsible for ensuring the accuracy or truthfulness of the personal data or the validity of other information which the members provided during the registration. Members must be at least 18 years of age. People who are not able to form legally binding contracts or their membership has been suspended, are not allowed to use the sites or services. Each participant has to guarantee during the registration, that he accepts the terms and conditions of this document.  During the registration, each member has to indicate a user name and a password which are essential for the access to the website.

5. Modality for the registration on the website
The registration is made by filling in a computer registration form. Those data, which are marked by * are essential for a correct registration. The absence of such data could prevent the registration process. After filling in the form, each user will be requested to create a personal member profile, consisting of a user name and a password.
Please avoid choosing for your user name, terms:
 - which infringe the rights of thirds, like copyright and trademark.
-  which are insulting, defamatory or libellous.
Each user is responsible to keep its user name and password secret. He will be responsible for all actions taken in the name of his access data. After having completed the registration procedure you should enter the access code, which has been sent to you by email. Afterwards you are a registered member with access to the web side; you can activate your pre-paid account and start bidding.

6. Costs.
The registration on the website is free. The mechanism of a lowest unique bid auction provides that each participant placing a bid will receive the information package. To get the information package, each member has to transfer a certain amount on his account. The amount will be clearly stated on the website.

7. Modalities to auction-off items.
In order to auction-off an item it must be signed a contract, as well as a declaration, that you are in possession of all rights to sale that item. The society has the right to accept or withdraw an auction item. It is strictly forbidden to auction-off the following items:
a) Illegal products or items that could support illegal activities
b) Drawing of premiums, gifts or lotteries
c) Falsified articles or documents, as well as pirate copies.

8. Modalities for placing the bids
Placing a bid is done while the auctions are running. Click on the item you are interested and follow the instructions. The bids have to be placed in euro and/or cent.  You have to make sure, to have a sufficient credit on your pre-paid account. The credit must correspond at least to the amount, which will be necessary to receive the information package.  Each bidder will be informed about the current status of its bids. The system will show steadily the updated position of your bids:
- The lowest unique bid
- Unique bid, but not the lowest
- No unique bid.
All bids are secret, so it is not possible to get any information about other bidders and their bids.

9. Retreat and invalidity of a bid
A placed bid can only be withdrawn, if an auction item has been modified after the bid was placed.
Invalid bids can not be reclaimed in the form of payment or compensation otherwise.
 - In order for the bid to be valid, it has to be registered at the designated closing time for each auction.
- a bid will be not valid, if the user infringes the conditions of this document.
In none of the cases the society will return the deducted amounts, which result from invalid bids.  By placing a bid, the bidder agrees to all conditions of the seller, like cost, modalities and time of the delivery of the of the auction item.

10. Adjudication of the auction item
After an auction has been closed, thus after all bids entered and  have been processed by the system, the bidder, who placed the lowest, single bid, has the right to purchase the auction property. The winner is not obligated to purchase the item. After the auction has been closed the winner will be contacted by an email within 72 hours. After the receipt of this email the winner should confirm the purchase of the item within 2 weeds, if not he lose the opportunity to purchase the item for the winning bid.
The provisional winner becomes the definitive winner only after the payment. In case, that the invoice is not paid in time, the auction and the adjudication will be annulated and the auction property will be auctioned-off in a new auction.
Each winner, who confirms the purchase of the auction property, entitles according to the “Privacy Policy, the company to publish the following information over the website: Pre and surname, auction article, amount of the winning bid, as well as photos of the user.
The society has the right to invalidate the adjudication of the auction property if the user has provided false or wrongful information.
For a better understanding the following example
Participant A: bid of 6
Participant B: bid of 2
Participant C: bid of 2
Participant D: bid of 3
Participant E: bid of 5
The object is awarded to the participant D, because its bid is the lowest unique bid. Even if the lowest bid corresponds to 2, this bid has been placed by 2 participants (B and C) and is thus no single bid.
If there will be no lowest unique bid, the system will automatically calculate the lowest bid, which has been placed by the smallest group of bidders.
An example: The following bids, with reference to the purchase price have been placed:  
- 10 euro: 2 bids
-   4 euro: 6 bids
-   3 euro:  2 bids
-   2 euro:  3 bids
-   1 euro:    no bid
The auction property will be awarded to one of the bidders, who have placed the bid for 3 euro, since this bid has been formulated by only 2 participants. The winner will be the one, who has placed the bid for first.

11. Payment regulations
The way of payment of the amount of the bid and the delivery costs can be decided by the user: either by the prepaid account, or by credit card or similar methods of payment.

12. Delivery and warranty of the auction items
All items are normally delivered within seven days after the invoice has been paid. All items are delivered by courier to the address specified during the registration or in the invoice.  In case of registered real estate or real estate properties, the delivery takes place in accordance to the agreements between seller and winner. Items sold on www.bigbid.com typically come with a warranty of 24 months. In case that the product does not correspond to the expectations of the winner, it can be sent to the seat of the management in Catania, via Aldebaran11/a, and the customer will be reimbursed for the amount paid for the item (the bid), less shipping and handling)

13. Missing payment
After the purchase of the auction property has been confirmed, the winner is legally bound to pay the auction price to the seller. In case of a missing payment the seller has the right to take appropriate actions. The society is not responsible for missing payments and their consequences.

14. Interruption or cancellation of an auction
An auction can be interrupted and/or called off, in case of problems with hardware/software of other defects in the computer system, if the operational sequence of the auctions is no longer ensured.

15. Suspension of the membership
The society has the right to restrict and/or prohibit the access to the site and terminate the services. The Users Agreement allows the society to suspend a user if he breaks any part of this document. Fraudulent activities and illegal items are strictly forbidden.
Members agree not to involve themselves in any of following activities.
1. Infringement of the terms and conditions of this document.
2. Provide false or wrongful information
3. Attempt to use the website for fraudulent or illegal reasons
4. Attempt of the illegitimate access to the website
5. Actions, which expose the society to financial loss or legal liabilities.
Nevertheless, the personal information will remain stored to comply with law.
A credit, which has been deducted from the account, won’t be reimbursed.
When the membership was terminated by the user, he has the possibility to register again at any time. When the suspension was done by the management due to fraudulent acting, there won’t be any possibility for a new registration.

16. Request for termination of the membership
Each member is entitled to update, change or delete its personal information according to the regulations of the Privacy Policy. The deletion of the registration on the website, has as a consequence the cancelation of the personal entrance data, thus it will not be possible anymore to get access to the site.  

17. Liability
The society is not involved in the actual transactions between buyers and sellers. The society has no control and cannot guarantee the quality, safety or legality of items, the truth or accuracy of listing, the truth or accuracy of feedback or other content posted by users on the sites and the ability of sellers and buyer’s to sell/buy items.
Each member should release the society „Pride corporation S.r.l., with seat in Catania via Aldebaran 11 A from responsibility, claims, demands and damages of every kind and nature, arising out of the use of the sites and services.   It cannot be guaranteed a continuous or secure access to the services and operations of the sites. They may be inferred with by factors outside of the control of the society.  So they cannot give any warranty about the availabilities of the services and the possibilities to place bid. The society is not liable to you for damages, infringes of copyright, trademark or other rights, missing warranties or delays in the delivery of the items. You agree not to hold responsible the society for any loss , costs, damage, etc you may incur as a result of the contempt of the terms and conditions of this document

18. Intentionally or erroneously provided false or wrongful data
The society is not able to ensure the truth content of the personal information or the truthfulness, accuracy of validity of the informations provided by its members. The society is not responsible for any consequences as a result of wrongful provided data.

19. Interference
The information contained on the website is excluding property of the society, even if the contents have been placed for the use of members or third persons. It is forbidden to copy, modify reproduce, distribute or publish any contents from the website without the expressed permission by the management. It is as well forbidden to use software programs to post list or upload contents or items. It is forbidden to plant, distribute or use viruses or any other potentially harmful software etc. that may harm the function of the web and its services and transactions of other participants

20. Communication service
The website contains different communication tools like, forums, newsgroup, links and other communication possibilities. The user may not use the communication tools to send spam or other contents that would breach the User Agreement or abuse copyright rights protected by the law. It is strictly forbidden to publish:
 - Pornographic material or erotic material in favour of the child pornography
 - Material against the national and international competition regulations
- Material, against the national or international commercial regulations
- Offensive material offending the moral
- Illegal material like software piracy and unauthorized copies
- Informations or data in contrast to the conditions of this document.
The violation of these rules has as a consequence the immediate suspension and the prohibition to access the website.

21. Advertisement
On the website could be present labels, advertising or promotional messages, sponsorships, etc, which don’t depend on the society. Corresponding complaints or objections will be passed on to the respectable persons.
It is forbidden for users to use the communication tools of the website (panels, chat, mailing lists etc.) to publish inaccurate, misleading, defaming or libellous contents.

22. Transfer
The society has the right to allow third persons to use the sites and its services in accordance with the conditions of this document.

23. Applied laws
The terms and conditions of this document are subject to the Italian law. In case of infringement or abuse the responsible authority in charge will be the “Forum of Catania”.
 
24. Privacy
The personal information of each member is collected, used and stored in accordance to the Privacy Policy (D.Lgs 196/03). The agreement for the collection of the personal data is subject to the consent of each member.  If you don’t accept the collecting and using of your personal information, you won’t be able to register and couldn’t get access to the website. You agree that your personal information will be shared with third persons, as well for marketing purposes and advertisement. Each user can practise the right from „the article 7 del Dolts 196/03”. The user has the right to be informed about the origin of its personal information, they way it will be used and stored, and how and what data can be disclosed and what other persons can see. At any time the user can amend, modify or delete its personal information.

Our communications will be sent to you by email or by letter to the address you provided during the registration process. The society rejects any responsibility, for not received notices due to wrong indication of the address  

26. General conditions
You agree that you will only use our sites and services in accordance with this Users Agreement. Before you become a member, during the registration, you must read and accept all the terms and conditions of this document and give your consent. The society reserves the right to modify or amend the above-stated conditions at any time by posting the amended terms on the site.  Each user can practice the right to terminate the membership, if he won’t accept the new regulations. The request to terminate the membership must be sent by email, indicating the relevant information, including member name and password.
